1. General
These Terms and Conditions ("Terms") govern your use of the Zapier platform and services provided by Zapier Desk("we", "us", or "our"). By accessing or using our platform and services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our platform and services.

2. Registration of User Accounts
To access certain features of our platform, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Membership

2.1. Your Zapier Desk membership will continue until terminated. Provide us with one or more Payment Methods. “Payment Method” means a current, valid, accepted method of payment, as may be updated from time to time, and which may include payment through your account with a third party. Unless you cancel your membership before your billing date, you authorize us to charge the subscription fee for the next billing cycle to your Payment Method (see "Cancellation" below).

2.2. We may offer a number of subscription plans, including subscriptions offered by third parties in conjunction with the provision of their own products and services. We are not responsible for the products and services provided by such third parties. Some subscription plans may have differing conditions and limitations, which will be disclosed at your sign-up or in other communications made available to you. You can find specific details regarding your Zapier Desk subscription by visiting the zapierdesk.com website and clicking on the "Account" link available at the top of the pages under your profile name.

Promotional Offers: We may from time to time offer special promotional offers, plans or memberships (“Offers”). Offer eligibility is determined by Zapier Desk at its sole discretion and we reserve the right to revoke an offer and put your account on hold in the event that we determine you are not eligible. members of households with an existing or recent Zapier Desk membership may not be eligible for certain introductory Offers. We may use information such as device ID, method of payment or an account email address used with an existing or recent Zapier Desk membership to determine Offer eligibility. The eligibility requirements and other limitations and conditions will be disclosed when you sign-up for the Offer or in other communications made available to you.

3. Account Security

You are responsible for maintaining the security of your account credentials and for any activity that occurs under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

  • Passwords and Account Access: You are responsible for any activity that occurs through the Zapier Desk account. By allowing others to access the account (which includes access to information on viewing activity for the account), you agree that such individuals are acting on your behalf and that you are bound by any changes that they may make to the account, including but not limited to changes to the subscription plan. To help maintain control over
    the account and to prevent any unauthorized users from accessing the account, you should maintain control over the devices that are used to access the service and not reveal the password or details of the Payment Method associated with the account to anyone. You agree to provide and maintain accurate information relating to your account, including a valid email address so we can send you account related notices. We can terminate your
    account or place your account on hold in order to protect you, Zapier Desk or our partners from identity theft or other fraudulent activity.

4. User Conduct and Acceptable Use
You agree to use our platform and services in compliance with these Terms and all applicable laws and regulations. You further agree not to:

  • Use our platform for any illegal or unauthorized purpose.
  • Interfere with or disrupt the integrity or performance of our platform.
  • Reverse engineer, decompile, or disassemble any aspect of our platform.
  • Violate the rights of others, including intellectual property rights.

5. Your Uploaded Files and Back-Up

You are solely responsible for any files or content that you upload, transmit, or store on our platform. We recommend that you maintain backups of your files and content, as we are not responsible for any loss or corruption of data.

6. Intellectual Property Rights and Licenses

Our platform and services are protected by intellectual property rights owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable license to use our platform for your internal business purposes.

7. Billing and Cancellation

7.1. Billing Cycle

The subscription fee for the Zapier Desk service and any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees, will be charged to your Payment Method on the specific payment date indicated on the "Account" page. The length of your billing cycle will depend on the type of subscription plan that you choose when you signed up for the service. In some cases your payment date may change, for example if your Payment Method has not successfully settled, when you change your subscription plan or if your paid subscription began on a day not contained in a given month. Visit the zapierdesk.com website and click on the "Billing details" link on the "Account" page to see your next payment date. We may authorize your payment method in anticipation of subscription or service-related charges through various methods, including authorizing it for up to approximately one month of service as soon as you register. If you signed up for Zapier Desk using your account with a third party as a Payment Method, you can find the billing information about your Zapier Desk subscription by visiting your account with the applicable third party.

7.2. Payment Methods

To use the Zapier Desk service you must provide one or more Payment Methods. You authorize us to charge any Payment Method associated to your account in case your primary Payment Method is declined or no longer available to us for payment of your subscription fee. You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your access to the service until we have successfully charged a valid Payment Method. For some Payment Methods, the issuer may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your payment method. Local tax charges may vary depending on the payment method used. Check with your payment method service provider for details.

7.3. Updating your Payment Methods

You can update your payment methods by going to the "Account" page. We may also update your payment methods using information provided by the payment service providers. Following any update, you authorize us to continue to charge the applicable Payment Method(s).

7.4. Cancellation

You can cancel your Zapier Desk membership at any time, and you will continue to have access to the Zapier Desk service through the end of your billing period. To the extent permitted by the applicable law, payments are non-refundable and we do not provide refunds or credits for any partial membership periods or unused Zapier Desk content. To cancel, go to the "Account" page and follow the instructions for cancellation. If you cancel your membership, your account will automatically close at the end of your current billing period. To see when your account will close, click "Billing details" on the "Account" page. If you signed up for Zapier Desk using your account with a third party as a payment method and wish to cancel your Zapier Desk membership, you may need to do so through such third party, for example by visiting your account with the applicable third party and turning off auto-renew, or unsubscribing from the Zapier Desk service through that third party.

7.5. Changes to the Price and Subscription Plans

We may change our subscription plans and the price of our service from time to time. We will notify you at least one month before any price changes or changes to your subscription plan will become effective.

8. Refund Policy

All applicable fees shall be paid in advance for the selected period and are not refundable, unless otherwise explicitly provided in the contract or applicable law.

We will provide you a proportional refund of any prepayment if:

  • We terminate or materially downgrade the Services without a cause.
  • You have validly terminated the contract due to non-compliance of the services with the terms and conditions of the contract. In such cases, we will provide you a refund proportionally to the period when the services were proved to be non-compliant as well as for the prepaid subscription period following the termination date.

In case you are entitled to a refund according to the contract or applicable law, we will carry out the reimbursement free of charge within 14 days using the same means of payment as you used to pay for your subscription (we may use other means if necessary)

9. Updates and Changes

We may update or change our platform and services, including these Terms, from time to time without prior notice. Your continued use of our platform after any such changes constitutes acceptance of the updated Terms.

10. Termination of the Contract

We may suspend or terminate your access to our platform and services at any time for any reason, without prior notice or liability. Upon termination, your right to use our platform will cease immediately.

11. Consumer’s Right to Withdraw from the Contract

If you are a consumer, you may have the right to withdraw from the contract within a certain period of time. Please refer to our cancellation policy for more information.

12. Disclaimer of Warranties

Our platform and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not warrant that our platform will be uninterrupted, secure, or error-free.

13. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of our platform or services.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is due to causes beyond our reasonable control, including acts of God, natural disasters, or governmental actions.

15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.

16. Resolving Disputes
 Any dispute arising out of or relating to these Terms shall be resolved through arbitration administered by a mutually agreed-upon arbitration provider in accordance with its rules and procedures.

17. Confidentiality
You agree to keep confidential any proprietary or confidential information disclosed by us in connection with your use of our platform and services.

18. Miscellaneous
These Terms constitute the entire agreement between you and us regarding your use of our platform and services and supersede any prior agreements or understandings, whether oral or written. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

To find more information about our service and its features or if you need assistance with your account, please visit the Zapier Help Center, which is accessible through the zapierdesk.com website. In certain instances, customer Service may best be able to assist you by using a remote access support tool through which we have full access to your computer. If you do not want us to have this access, you should not consent to support through the remote access tool, and we will assist you through other means. In the event of any conflict between these terms of use and information provided by customer support or other portions of our websites, these terms of use will control.
